The following are the Terms of Use ("Terms") under which You (as defined below) may use www.AssociateLocator ("AssociateLocator"), an on-line service to post and search legal employment opportunities and User (as defined below) resumes.

These Terms include the AssociateLocator Privacy Statement and the AssociateLocator Fee Policy located below, each of which is incorporated into these Terms by reference. Please read these Terms carefully. If You do not accept the Terms stated here, do not use AssociateLocator and its services. By using AssociateLocator, You agree to be bound by these terms, including the AssociateLocator Privacy Statement, and, if applicable, the AssociateLocator Fee Policy.

You should visit this page periodically to review the most current Terms because they are binding on You. The terms "You" and "User" as used herein refer to all individuals and/or entities accessing AssociateLocator for any reason. The term "post" as used herein shall mean information that You submit, publish or display on AssociateLocator (as defined below).

The term "post" as used herein shall mean information that You submit, publish or display on AssociateLocator (as defined below).

1. Eligibility.

You must be 18 years of age or older, or the age of majority as defined in your jurisdiction, whichever is older, to visit or use AssociateLocator in any manner. By visiting AssociateLocator or accepting these Terms, You represent and warrant to White Bear that You have reached the age of majority in your jurisdiction, and that You have the right, authority and capacity to agree to and abide by these Terms. You also represent and warrant to White Bear that You will use AssociateLocator in a manner consistent with any and all applicable laws and regulations.

2. Use of AssociateLocator Content.

White Bear authorizes You to view and access a single copy of the content available on or from AssociateLocator solely for your personal use. The contents of AssociateLocator, such as text, graphics, images, logos, button icons, software and other AssociateLocator content (collectively, "AssociateLocator Content"), are protected under both United States and foreign copyright, trademark and other laws. All AssociateLocator Content is the property of White Bear or its content suppliers or clients. The compilation (meaning the collection, arrangement and assembly) of all content on AssociateLocator is the exclusive property of White Bear and is protected by United States and foreign copyright, trademark, and other laws. Unauthorized use of AssociateLocator Content may violate these laws, and is strictly prohibited. You must retain all copyright, trademark, service mark and other proprietary notices contained in the original AssociateLocator Content on any authorized copy You make of the AssociateLocator Content. You agree not to sell or modify the AssociateLocator Content or reproduce, display, publicly perform, distribute, or otherwise use the AssociateLocator Content in any way for any public or commercial purpose, in connection with products or services that are not those of AssociateLocator, in any other manner that is likely to cause confusion among consumers, that disparages or discredits White Bear or its licensors, that dilutes the strength of White Bear's or its licensor’s property, or that otherwise infringes White Bear's or its licensor’s intellectual property rights. You further agree to in no other way misuse AssociateLocator Content that appears on AssociateLocator. The use of the AssociateLocator Content on any other Web site or in a networked computer environment for any purpose is prohibited. Any code that White Bear creates to generate or display any AssociateLocator Content or the pages making up AssociateLocator is also protected by White Bear's copyright and you may not copy or adapt such code.

3. AssociateLocator Restrictions.

Users may not use AssociateLocator in order to transmit, post, distribute, store or destroy material, including without limitation, AssociateLocator Content, (a) in violation of any applicable law or regulation, (b) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others or violate the privacy, publicity or other personal rights of others, or (c) that is defamatory, obscene, threatening, abusive or hateful.

Users are also prohibited from violating or attempting to violate the security of AssociateLocator, including without limitation, the following activities: (a) accessing data not intended for such User or logging into a server or account which the User is not authorized to access; (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (c) attempting to interfere with service to any User, host or network, including, without limitation, via means of submitting a virus to AssociateLocator, overloading, "flooding", "spamming", "mailbombing" or "crashing"; or (d) forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting. Violations of system or network security may result in civil and/or criminal liability. White Bear will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations.

4. Specific Prohibited Uses.

The job posting, resume database ("AssociateLocator Resume Database") and other features of AssociateLocator may be used only for lawful purposes by individuals seeking employment and career information and employers seeking employees. Monster specifically prohibits any other use of AssociateLocator, and all Users agree not to do any of the following: (a) post any jobs on AssociateLocator for any competitor of AssociateLocator or post jobs or other content that contains links to any site competitive with AssociateLocator; (b) post jobs or content on AssociateLocator that contain hyperlinks, "hidden" keywords or keywords that are irrelevant to the job or are otherwise misleading; (c) post jobs for anything other than employment within the legal field (d) use the AssociateLocator Resume Database for any purpose other than as an legal employer seeking employees, including but not limited to using the information in the AssociateLocator Resume Database to sell or promote any products or services; (e) post or submit to AssociateLocator any incomplete, false or inaccurate biographical information or information which is not your own; (f) delete or revise any material posted by any other person or entity; (g) take any action that imposes an unreasonable or disproportionately large load on AssociateLocator's infrastructure; (h) notwithstanding anything to the contrary contained herein, use or attempt to use any engine, software, tool, agent or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search AssociateLocator other than the search engine and search agents available from AssociateLocator and other than generally available third party web browsers (e.g., Internet Explorer, Firefox, Safari); (i) decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of AssociateLocator; (j) aggregate, copy or duplicate in any manner any of the AssociateLocator Content or information available from AssociateLocator, without express written consent from White Bear; or (n) frame or link to any AssociateLocator Content or information available from AssociateLocator, without express written consent from White Bear.

White Bear does not necessarily monitor any materials posted, transmitted, or communicated to or within AssociateLocator. If you believe that something on AssociateLocator violates these Terms please send an email to the email address given in Section 9 below.

If notified by a User of User Content or other materials which allegedly do not conform to these Terms, White Bear may in its sole discretion investigate the allegation and determine whether to take any other actions whether to remove or request the removal of the User Content. White Bear has no liability or responsibility to Users for performance or nonperformance of such activities.

5. Registration Information.

When You register with AssociateLocator, You will be asked to create an account and provide White Bear with certain information including, without limitation, a valid email address (your "Information"). Information you submit will be used in accordance with AssociateLocator's Privacy Statement below. White Bear reserves the right to offer third party services and products to You based on the preferences that You identify in your registration and at any time thereafter; such offers may be made by White Bear or by third parties. Please see AssociateLocator's Privacy Statement below, the terms of which are incorporated herein by reference, for further details regarding your Information. Without limiting any of the other disclaimers of warranty set forth in these Terms, White Bear does not provide or make any representation as to the quality or nature of any of the third party products or services purchased through AssociateLocator, or any other representation, warranty or guaranty. Any such undertaking, representation, warranty or guaranty would be furnished solely by the provider of such third party products or services, under the terms agreed to by the provider.

You understand and acknowledge that you have no ownership rights in your account, and that if you cancel your account or allow your account to expire, all your account information will be marked as deleted in AssociateLocator's databases and will be removed from any public area of AssociateLocator. Information may continue to be available for some period of time because of delays in propagating such deletion through AssociateLocator’s web servers. In addition, third parties may retain cached copies of your Information.

6. User Content and Submissions.

You are solely responsible for your account information or resume, employer account information or job postings (including, without limitation works in any form, media, or technology whether now known or later developed), messages, audio, video, photos, text, images, compilations or other information ("User Content") that You post on AssociateLocator or transmit to other Users. You agree that in submitting User Content or otherwise using AssociateLocator that you will not impersonate any person, or submit any materials to AssociateLocator that are false, inaccurate, misleading, unlawful, or are otherwise in violation of your obligations under these Terms.

By posting User Content to AssociateLocator, including without limitation, message boards, profiles, forums, contests and chat rooms (if any), You automatically grant to White Bear and its affiliates an irrevocable, royalty-free, perpetual, fully paid non-exclusive right (including moral rights) and worldwide license to use, copy, reproduce, modify, adapt, publish, translate, communicate to the public, perform, display, and distribute such User Content (in whole or in part) and to prepare derivative works of, or incorporate into other works (in any form, media or technology now known or later developed, for the full term of any rights that may exist in such content) such User Content, and to grant and authorize sublicenses thereof (through multiple tiers).

You also represent and warrant that You have the right to grant or that the holder of any rights, including moral rights in such content, has completely and effectively waived all such rights and validly and irrevocably granted to You the right to grant, the license stated above. If you post User Content to AssociateLocator, You also permit any User to access, display, view, store and reproduce such User Content for personal use. Subject to the foregoing, the owner of such User Content placed on AssociateLocator retains any and all rights that may exist in such User Content.

AssociateLocator acts as a passive conduit for the online distribution and publication of User Content and has no obligation to screen User Content, communications or information in advance and is not responsible for screening or monitoring User Content posted by Users. However, White Bear may review and remove any User Content that, in its sole judgment, violates these Terms, violates applicable laws, rules or regulations, is abusive, disruptive, offensive or illegal, or violates the rights of, or harms or threatens the safety of, Users of AssociateLocator. White Bear reserves the right to expel Users and prevent their further access to AssociateLocator for violating the Terms or applicable laws, rules or regulations. White Bear may take any action with respect to User Content that it deems necessary or appropriate in its sole discretion if it believes that such User Content could create liability for White Bear, damage AssociateLocator’s brand or public image, or cause AssociateLocator to lose (in whole or in part) the services of its ISPs or other suppliers. White Bear does not represent or guarantee the truthfulness, accuracy, or reliability of User Content or any other communications posted by Users or endorse any opinions expressed by Users. You acknowledge that any reliance on material posted by other Users will be at your own risk. The following is a partial list of User Content that is prohibited on AssociateLocator. The list below is for illustration only and is not a complete list of all prohibited User Content.

Content that:

(a) is implicitly or explicitly offensive, such as User Content that engages in, endorses or promotes racism, bigotry, discrimination, hatred or physical harm of any kind against any group or individual;

(b) harasses, incites harassment or advocates harassment of any group or individual;

(c) involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming";

(d) promotes or endorses false or misleading information or illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;

(e) promotes or endorses an illegal or unauthorized copy of another person's copyrighted work, such as providing or making available pirated computer programs or links to them, providing or making available information to circumvent manufacture-installed copy-protect devices, or providing or making available pirated music or other media or links to pirated music or other media files;

(f) contains restricted or password only access pages, or hidden pages or images;

(g) displays or links to pornographic, indecent or sexually explicit material of any kind;

(h) provides or links to material that exploits people under the age of 18 in a sexual, violent or other manner, or solicits personal information from anyone under 18; or

(i) provides instructional information about illegal activities or other activities prohibited by these Terms, including without limitation, making or buying illegal weapons, violating someone's privacy, providing or creating computer viruses or pirating any media; and solicits passwords or personal identifying information from other Users.

Any User Content You submit in order to complete a resume must describe You, an individual person. Examples of inappropriate and prohibited resumes include, but are not limited to, resumes that purport to represent an animal, place, inanimate object, fictional character, or real individual that is not You. You may not include in your resume any telephone numbers, street addresses, or other means of contacting You, other than your last name, email address (if you so desire) and URLs.

If notified by a User of User Content or other materials which allegedly do not conform to these Terms, White Bear may in its sole discretion investigate the allegation and determine whether to take any other actions whether to remove or request the removal of the User Content. White Bear has no liability or responsibility to Users for performance or nonperformance of such activities.

We appreciate hearing from our Users and welcome your comments and questions regarding our services and AssociateLocator. You may contact us via the email address given in Section 9 hereof. Please be advised, however, that our policy does not permit us to accept or consider creative ideas, suggestions, inventions or materials other than those which we have specifically requested. While we do value your feedback on our services, please be specific in your comments regarding our services and do not submit creative ideas, inventions, suggestions, or materials. If, despite our request, You send us creative suggestions, ideas, drawings, concepts, inventions, or other information (collectively the "Submission"), the Submission shall be the property of White Bear. None of the Submission shall be subject to any obligation of confidentiality on our part and we shall not be liable for any use or disclosure of any Submission. White Bear shall own exclusively all now known or later discovered rights to the Submission and shall be entitled to unrestricted use of the Submission for any purpose whatsoever, commercial or otherwise, without compensation to You or any other person.

7. Registration and Password.

You are responsible for maintaining the confidentiality of your employer account, employee account and passwords, as applicable, and if You are not an employer subscriber, your Billing Account. You may not share your password or other account access information with any other party, temporarily or permanently, and You shall be responsible for all uses of your AssociateLocator registrations and passwords, whether or not authorized by You. You agree to immediately notify White Bear of any unauthorized use of your employer account, employee account, and passwords, as applicable, and if You are not an employer subscriber, your Billing Account, as the case may be.

8. Additional Terms Applicable to Employee
Membership.

(a) Employee Membership. An Employee Member has paid for access to networking features, along with access to exclusive content. The service and product offerings (if any) and pricing are subject to change at any time with or without notification to Employee Members. A User can access all of the networking features and exclusive content from his or her account homepage.

(b) Employee Membership Cancellation. A User will retain access to the Employee Membership features provided that he or she has paid the registration fee and renews his or her membership at least once prior to the expiration of any six month term at no additional charge. The User may terminate his or her membership at any time, for any reason by using sending an email to the address given in Section 9 hereof. Make sure, when you are terminating your membership, to include you username and password in the email. If you cancel your membership, you will not be entitled to any refund of fees.

(c) Employee Membership Termination by White Bear. If White Bear terminates your Employee Membership because You have breached these Terms or White Bear is unable to verify or authenticate information You have provided, You will not be entitled to any refund of fees paid.

9. Notification Of Claimed Copyright or
Trademark Infringement.

If You believe that your copyrighted work or trademark has been uploaded, posted or copied to AssociateLocator and is accessible on AssociateLocator in a way that constitutes copyright or trademark infringement, please send an email to the following address containing a brief description of the infringement and where on AssociateLocator the infringement has taken place. White Bear will investigate the alleged occurrence and act accordingly.

10. Policy Regarding Termination Of Users Who Repeatedly Infringe The Copyright Or Other Intellectual Property Rights Of Others.

White Bear respects the intellectual property of others, and we ask our Users do the same. The unauthorized posting, reproduction, copying, distribution, modification, public display or public performance of copyrighted works constitutes infringement of the copyright owners rights. As a condition to your use of AssociateLocator, You agree not to use AssociateLocator to infringe the intellectual property rights of others in any way. We will terminate the accounts of any AssociateLocator Users, and block access to AssociateLocator of any Users who are repeat infringers of the copyrights, or other intellectual property rights, of others. We reserve the right to take these actions at any time, in our sole discretion, with or without notice, and without any liability to the User who is terminated or to the User whose access is blocked.

11. White Bear's Liability.

AssociateLocator acts as a venue for employers to post job opportunities and candidates to post resumes and White Bear does not screen or censor the listings. White Bear is not involved in the actual transaction between employers and candidates. As a result, White Bear has no control over User Content, the quality, safety or legality of the jobs or resumes posted, the truth or accuracy of the listings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings and White Bear makes no representations about any jobs, resumes or User Content on AssociateLocator. White Bear may take any action with respect to User Content that it deems necessary or appropriate in its sole discretion if it believes that such User Content could create liability for White Bear, damage AssociateLocator’s brand or public image, or cause AssociateLocator to lose (in whole or in part) the services of its ISPs or other suppliers. While White Bear reserves the right in its sole discretion to remove User Content, job postings, resumes or other material from AssociateLocator from time to time, White Bear does not assume any obligation to do so and disclaims any liability for failing to take any such action.

In addition, note that there are risks, including but not limited to the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false pretenses. You assume all risks associated with dealing with other Users with whom You come in contact through AssociateLocator. By its very nature, other people's information may be offensive, harmful or inaccurate, and in some cases will be mislabeled or deceptively labeled. We expect that You will use caution and common sense when using AssociateLocator.

Because User authentication on the Internet is difficult, White Bear cannot and does not confirm that each User is who they claim to be. Because we do not and cannot be involved in User-to-User dealings or control the behavior of participants on AssociateLocator, in the event that You have a dispute with one or more Users, You release White Bear (and our agents and employees) from claims, demands and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

If You are a California resident, You waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

AssociateLocator and the AssociateLocator Content may contain inaccuracies or typographical errors. White Bear makes no representations about the accuracy, reliability, completeness, or timeliness of AssociateLocator or the Monster Content. The use of AssociateLocator and the Monster Content is at your own risk. Changes are periodically made to AssociateLocator and may be made at any time. You acknowledge and agree that You are solely responsible for the form, content and accuracy of any resume or material contained therein placed by You on AssociateLocator. Employers are solely responsible for their postings on AssociateLocator. White Bear is not to be considered to be an employer with respect to your use of AssociateLocator and White Bear shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on AssociateLocator. White Bear cannot guarantee and does not promise any specific results from use of AssociateLocator. White Bear also does not promise that a job posting exists on AssociateLocator for every city that may be searched on AssociateLocator. No advice or information, whether oral or written, obtained by a User from White Bear or through or from AssociateLocator shall create any warranty not expressly stated herein.

12. Disclaimer of Warranty.

WHITE BEAR DOES NOT WARRANT THAT AssociateLocator WILL OPERATE ERROR-FREE OR THAT AssociateLocator AND ITS SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF YOUR USE OF AssociateLocator OR THE ASSOCIATELOCATOR CONTENT RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, WHITE BEAR IS NOT RESPONSIBLE FOR THOSE COSTS. AssociateLocator AND ASSOCIATELOCATOR CONTENT ARE PROVIDED ON AN "AS IS" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. WHITE BEAR, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE AND NON-INFRINGEMENT. WHITE BEAR MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE ASSOCIATELOCATOR CONTENT, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS.

13. Disclaimer of Consequential Damages.

IN NO EVENT SHALL WHITE BEAR, ITS SUPPLIERS, OR ANY THIRD PARTIES MENTIONED ON AssociateLocator BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE AssociateLocator AND THE ASSOCIATELOCATOR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WHITE BEAR IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Limitation of Liability.

WHITE BEAR'S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH AssociateLocator OR YOUR USE OF THE ASSOCIATELOCATOR CONTENT, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE), WILL NOT EXCEED $100.

15. Links.

AssociateLocator may contain links to third party Web sites. These links are provided solely as a convenience to You and not as an endorsement by White Bear of the contents on such third-party Web sites. White Bear is not responsible for the content of linked third-party sites and does not make any representations regarding the content or accuracy of materials on such third party Web sites. If You decide to access linked third-party Web sites, You do so at your own risk.

16. No Resale or Unauthorized Commercial Use.

You agree not to resell or assign your rights or obligations under these Terms. You also agree not to make any unauthorized commercial use of AssociateLocator.

17. Indemnity.

You agree to defend, indemnify, and hold harmless White Bear, its affiliates, and their respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) any User Content or other material You provide to AssociateLocator, (ii) your use of any AssociateLocator Content, or (iii) your breach of the terms of these Terms. White Bear shall provide notice to You promptly of any such claim, suit, or proceeding.

18. General.

White Bear makes no claims that the AssociateLocator Content may be lawfully viewed or accessed outside of the United States. Access to the AssociateLocator Content may not be legal by certain persons or in certain countries. If You access AssociateLocator from outside of the United States, You do so at your own risk and are responsible for compliance with the laws of your jurisdiction. These Terms are governed by the internal substantive laws of the State of Florida, without respect to its conflict of laws principles.

Jurisdiction for any claims arising under this agreement shall lie exclusively with the state or federal courts within St. Augustine, Florida. If any provision of these Terms are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. In addition, White Bear’s failure to enforce any term of these Terms shall not be deemed as a waiver of such term or otherwise affect White Bear’s ability to enforce such term at any point in the future. Except as expressly provided in an additional agreement, additional Terms for certain areas of AssociateLocator, a particular "Legal Notice," or software license or material on particular AssociateLocator pages, these Terms constitute the entire agreement between You and White Bear with respect to the use of AssociateLocator. No changes to these Terms shall be made except by a revised posting on this page.

19. Additional Terms.

Certain areas of AssociateLocator may be subject to additional Terms. By using such areas, or any part thereof, You agree to be bound by the additional Terms applicable to such areas.

20. Term and Termination.

These Terms will remain in full force and effect while You are a User of AssociateLocator. White Bear reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to removal of your User Content from AssociateLocator and immediate termination of your registration with or ability to access AssociateLocator, upon any breach by You of these Terms or if White Bear is unable to verify or authenticate any information You submit to AssociateLocator. Even after You are no longer a User of AssociateLocator, certain provisions of these Terms will remain in effect.

These Terms constitute a binding agreement between You and White Bear, and is accepted by You upon your use of AssociateLocator. By clicking "I agree" you represent that you are capable of entering into a binding agreement, and that you agree to be bound by these Terms.

Privacy Statement for
AssociateLocator

White Bear Enterprises, LLC is committed to respecting the privacy of our users. We strive to provide a safe, secure user experience. This Privacy Statement sets forth the online data collection and usage policies and practices that apply to AssociateLocator and does not apply to information we collect in any other fashion.

1. Data Storage.

Your data will be stored and processed in whole or in part in the United States. The information we gather on White Bear Enterprises, LLC ("White Bear") may be shared within the White Bear affiliated companies on a worldwide basis in order to deliver the products and services we offer to employers such as searches for job seekers or in order to undertake analysis of our database such as aggregate profiling of our registered users. "Affiliated companies" means entities that control, are controlled by or are under common control with White Bear.

2. Links.

AssociateLocator may contain links to other Web sites over which we have no control. 3. Personal Information.

In some areas of AssociateLocator, we request or may request that you provide personal information, including your name, address, e-mail address, telephone number credit card number, social security number, contact information, billing information and any other information from which your identity is discernible. In other areas, we collect or may collect demographic information that is not unique to you such as your ZIP code, age, preferences, gender, interests and favorites. Sometimes we collect or may collect a combination of the two types of information. Examples of areas on AssociateLocator where we collect personal or combined personal and demographic data are pages where you can sign up to use a service, post a resume, enter a contest or purchase a product and post a job. We also gather or may gather certain information about your use of AssociateLocator, such as what areas you visit and what services you access. Moreover, there is information about your computer hardware and software that is or may be collected by us. This information can include without limitation your IP address, browser type, domain names, access times and referring Web site addresses, but is not linked to your personal information.

We may sometimes afford you the opportunity to provide descriptive, cultural, behavioral, preferential and/or life style information about yourself, but it is solely up to you whether you furnish such information. If you do provide such information, you are thereby consenting to the use of that information in accordance with the policies and practices described in this Privacy Statement. For example, such information may be used for the purpose of determining your potential interest in receiving e-mail or other communications about particular products or services.

We use the information we gather on AssociateLocator, whether personal, demographic, collective or technical, for the purpose of operating and improving AssociateLocator, fostering a positive user experience, and delivering the products and services that we offer.

If you have provided consent for us to do so, we may also use the information we gather to inform you of other products or services available from us or our affiliated companies.

We may use your contact information in order to send you e-mail or other communications regarding updates at AssociateLocator, to contact you about your opinion of current products and services or potential new products and services that may be offered. We may also provide additional communications, promotions and information on new AssociateLocator opportunities and additional job postings which may be of interest to you. The nature and frequency of these messages will vary depending upon the information we have about you.

In addition, you may receive free informational newsletters from us relating to topics that may be of special interest to you, such as legal career management advice.

We have areas on AssociateLocator where you can submit feedback. Any feedback you submit in these areas becomes our property, and we can use such feedback (such as success stories) for marketing purposes or to contact you for further information.

We do not disclose your personal information to third parties, or your combined personal and demographic information or information about your use of AssociateLocator (such as the areas you visit or the services you access), except as set forth below.

We may disclose information to third parties if you consent to such disclosure. For example, if you indicate that you would like to receive information about the opportunities, products or services of third parties at the time you register for an account, we may supply your contact information to third parties such as employers, recruiters, data aggregators, marketers or others for the purpose of sending you e-mail or otherwise communicating with you. We use data we have about you (such as the interests and preferences you have expressed) to determine whether you might be interested in the opportunities, products or services of a particular third-party.

We disclose information to companies and individuals we employ to perform functions on our behalf. Examples include hosting our Web servers, analyzing data, providing marketing assistance, processing credit card payments, and providing customer service. These companies and individuals will have access to your personal information as necessary to perform their functions, but they may not share that information with any other third party.

In addition, in the event we become the subject of a bankruptcy proceeding, whether voluntary or involuntary, we or our trustee in bankruptcy may sell, license or otherwise dispose of such information in a transaction approved by the bankruptcy court. You will be notified of sale of all or a substantial portion of our business to a third party via email or through a prominent notice posted on AssociateLocator.

Other users or members of AssociateLocator may access your profile, however, they will not have access to your contact information, except for your email address if you so desire.

We also may share aggregated anonymous information about visitors to AssociateLocator with its clients, partners and other third parties so that they can understand the kinds of visitors to AssociateLocator and how those visitors use AssociateLocator. We may also aggregate on an anonymous basis data regarding job qualifications, schooling, age, experience level or other information relevant to the legal job search or competition among job seekers for any such job. Such data may be made available to employers or fellow job seekers.

4. Resume Options.

Since AssociateLocator is a career site, we give you a few options regarding the accessibility of your resume:

(a) You can either create a resume and elect to not make it searchable by potential employers or you may decide not to create a resume or elect to create a resume at a later time.

(b) If you decide to create a resume and allow it to be searchable, then all employers with access to our searchable resume database will have access to your resume.

(c) You may also deicide to create a resume, but leave certain information omitted, such as your name or email address. It is perfectly acceptable omit one or both of these items. Of course, if you decide to omit your email address a potential employer will not be able to contact you about a position. (We suggest that you create an email address specifically for use with AssociateLocator. You may use any one of the many providers who offer free email accounts. You are of course welcome to use an email address you currently have, but be aware that you are making this address available to others.)

Regardless of which method you chose, you will have access to our job post database, complete with available legal positions and instructions on how to submit a resume.

We attempt to limit access to our searchable resume database only to legal employers, legal recruiters, firm hiring managers, legal headhunters, and firm human resource professionals, as well as law enforcement and national security agencies, but cannot guarantee that other parties will not gain access to this database. We are not responsible for the use made of resumes by third parties who access such resumes while they are in our searchable database. You may remove your resume on AssociateLocator at anytime, but, employers, recruiters and others who have access to the AssociateLocator resume database, as well as parties who have otherwise gained access may have retained a copy of your resume in their own files or databases. We are not responsible for the retention, use or privacy of resumes or profiles in these instances.

5. Use of Cookies.

We use "cookies" to help personalize and maximize your online experience and time online. A cookie is a text file that is placed on your hard drive by a Web page server. Cookies are not used to run programs or deliver viruses to your computer. Cookies are uniquely assigned to your computer, and can only be read by a Web server in the domain that issued the cookie to you.

One of the primary purposes of cookies is to provide a convenience feature to save you time. The purpose of a cookie is to tell the Web server that you have returned to a specific page. For example, if you register for services, a cookie helps us to recall your specific information (such as user name, password and preferences). Because of our use of cookies, we can deliver faster and more accurate results and a more personalized site experience. When you return to AssociateLocator, the information you previously provided can be retrieved, so you can easily use the features that you customized. We also use cookies to track click streams and for load balancing.

You may have the ability to accept or decline cookies. Most Web browsers automatically accept cookies, but you can usually modify your browser setting to decline all cookies if you prefer. Alternatively, you may be able to modify your browser setting to notify you each time a cookie is tendered and permit you to accept or decline cookies on an individual basis. If you choose to decline cookies, however, that may hinder performance and negatively impact your experience on AssociateLocator.

6. Use of Web Beacons.

AssociateLocator web pages may contain electronic images known as web beacons (sometimes called single-pixel gifs) that allow us to count users who have visited those pages and to deliver co-branded services. Web beacons are not used to access your personally identifiable information; they are a technique we use to compile aggregated statistics about our web site usage. Web beacons collect only a limited set of information including a cookie number, time and date of a page view, and a description of the page on which the web beacon resides.

You may not decline web beacons, however, they can be rendered ineffective by declining all cookies or modifying your browser setting to notify you each time a cookie is tendered and permit you to accept or decline cookies on an individual basis.

7. Access to and Modification of Your
Information.

You may review, correct, update or change your either your employee or employer account at any time. From your account you may also opt out of receiving newsletters and certain other information from AssociateLocator.

To change your account information, simply log into your account, review your account information and, if you wish, edit it with the options provided.

We retain indefinitely all the information we gather about you in an effort to make your repeat use of AssociateLocator more efficient, practical, and relevant. Of course, you can delete your resume or job post from AssociateLocator 's online databases and close your account at any time, in which event we will remove all our copies of your resume or job post from AssociateLocator, except for an archival copy which is not accessible on the Internet.

8. Security of the Personal Information.

We have implemented commercially reasonable technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes.

When you place an order online at AssociateLocator, your credit card information is protected through the use of 256-bit GeoTrust encryption software ("GeoTrust"). GeoTrust makes it difficult for your credit card information to be intercepted or stolen while being transmitted. We use a service company to process its credit card transactions.

9. Children.

AssociateLocator is not intended for persons under the age of 18. We do not knowingly collect personal information from persons under 18.

Fee Policy for AssociateLocator

1. Employee Membership (Associates and
Interns).

For a limited time the $150 Membership Fee is being waived for all registrants, only a $15 non-refundable processing fee shall apply

As an Employee Member, you will be billed for a membership in accordance with AssociateLocator's membership fee at the time of registration. As of this date, the membership fee is $150.00. Your credit card will be billed the entire amount during the registration process. There are NO reoccurring monthly fees. The membership fee entitles you to complete access to all services provided to potential associates and interns by AssociateLocator. You may remain a member indefinitely provided that you have paid the membership fee, have continually renewed your membership at least once prior to the expiration of any six month term, such terms to be consecutive commencing on the date of registration and provided that you have not established employment. For the purposes of this paragraph employment shall not include internships. You may terminate your membership to AssociateLocator for any reason and at any time, but the membership is non-refundable and will not be prorated. In order to terminate your membership send an email to the email address given in Section 9 of the Terms of Use. You must include your username and password in the email when terminating your membership. AssociateLocator reserves the right to change the membership fees at any time, however once you have become an Employee Member you will not be subject to these changes.

2. Employer Membership (Legal Employers and
Recruiters).

As an Employer Member, provided that your registration application is approved, you will have free access to AssociateLocator’s resume database as well as having the ability to post jobs on AssociateLocator’s job post data base. Jobs posted on the job post database shall remain on the data base searchable by potential employees for a period of six months at which time the job post will be removed.
